                                                        License Agreement
 
1) Base 16 Corporation (BASE16) grants the Licensee the right to use the 
TRAX: DTN RealTime software (Software) for the term of license for use with the 
DTN RealTime satellite delivered market data services provided by DTN Market 
Access, LLC (DTN). BASE16 will provide Licensee all software upgrades, program 
corrections and enhancements made to the Software during the licensing term.

2) BASE16 makes every attempt to provide defect-free software that is capable
of delivering market data and information as accurately as possible. From time
to time, defects in the Software may occur.

3) Licensee agrees to have alternate market data sources available for fail-over
and for verification of accuracy of information delivered to Licensee using the 
Software. A defect in the Software could suddenly cause the Software to become 
non-functional for extended periods of time. If this should occur, BASE16 will 
make every effort to make the corrections necessary to restore the Software 
to a functional and reliable state, but BASE16 is not bound to make the 
corrections and restore the service of the Software within any particular time 
frame. Licensee acknowledges that the proper functionality of the Software may 
not be uninterrupted or error-free.
                
4) Licensee agrees to abide by the agreements executed with DTN and the market
Exchanges. Licensee may not redistribute market data or allow the data to be 
made available through the Software to be used by more than a single individual.
Any breech of DTN and Exchange agreements is solely the responsibility of the 
Licensee. BASE16 will not be liable for a breach of contract and cannot be held 
responsible for any violations, illegal use, or misuse of the Software or the 
data delivered by the Software.

5) Licensee agrees to assume all risk and liability for the use of any data or 
information received using the Software. Licensee agrees not to hold BASE16 or
DTN liable for any error, program defect, failure or delay. BASE16 cannot
guarantee the accuracy of the data received from DTN, nor the accuracy of the 
conversion processes and algorithms used in the Software.

6) If Licensee uses the Software to make financial and trading decisions,
Licensee does so completely at their own risk. The Software may deliver 
incorrect data or data that is unintentially delayed, or in some other way is 
flawed or does not accurately reflect real-time market information at the time.
BASE16 is not liable for any losses that may directly or indirectly occur due
to use of the Software. Licensee hereby agrees that any and all losses, 
regardless of the performance of the Software will be solely the resposibility 
of the Licensee.

7) The license may not be transferred to another party.

8) License fees are non-refundable.

9) This agreement will be governed by the laws of the State of Texas, without
regard to or application of conflicts of law rules or principles, and Licensee
hereby consents to the exclusive jurisdiction of the federal and state courts
located in the County of Dallas, Texas with regard to any dispute arising under
this agreement. If any provision of this agreement is held to be unenforceable,
that provision will be removed and the remaining provisions will remain in full
force.
